Terms of Service

1. Acceptance of Terms

By accessing or using the MultiModelMagic platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MultiModelMagic ("we," "our," or "us"), a company based in Ontario, Canada.

We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes indicates your acceptance of the updated Terms.

2. Description of Service

MultiModelMagic is an AI model orchestration platform that allows users to:

• Run prompts across multiple AI models simultaneously through the Multi Model Magic Engine
• Build consensus from multiple AI model responses through the Consensus Framework
• Delegate complex tasks to AI-selected models through the AI Delegator
• Generate text, images, and web page outputs from various AI providers

The Service acts as an intermediary between you and third-party AI model providers. We do not create or control the AI models themselves; we provide a platform to access and orchestrate them.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.

3.2 Account Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Providing false, inaccurate, or misleading information may result in immediate termination of your account.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 Admin Approval

New accounts may require administrator approval before they become active. We reserve the right to approve or reject any account registration at our sole discretion without providing a reason.

4. Token System and Payments

4.1 Token Value

The Service operates on a pre-paid token system. Tokens are the unit of currency used to pay for AI model usage on the platform.

4.2 Token Purchases

Tokens are purchased in advance using cryptocurrency. The minimum purchase amount is 100 tokens ($1.00 CAD). Token balances are credited to your account upon confirmation of payment.

4.3 Non-Refundable

All token purchases are final and non-refundable. Once tokens are credited to your account, they cannot be converted back to currency or transferred to another account.

4.4 No Expiration

Tokens do not expire. Once purchased, they remain in your account indefinitely until used, regardless of account inactivity. Tokens are forfeit only in the event of account termination due to a violation of these Terms.

4.5 Cost Quoting

Before any job is executed, the Service will provide you with an estimated token cost (a "quote"). Jobs are only executed upon your explicit confirmation of the quoted cost. If actual usage is lower than the quoted amount, the difference is automatically refunded to your token balance. You will never be charged more than the quoted amount for a given job.

4.6 Failed Jobs

If a job fails due to a system error or service disruption on our end, the full quoted token amount will be refunded to your account balance.

5. Acceptable Use Policy

You agree not to use the Service to:

• Generate, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable under Canadian law or the laws of your jurisdiction
• Generate content that exploits, harms, or attempts to exploit or harm minors in any way
• Generate content that infringes on the intellectual property rights of any third party
• Attempt to circumvent usage limits, rate limits, or any security measures of the Service
• Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable use
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or commercially redistribute access to the Service without our written consent
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Use the Service to generate spam, phishing content, or malicious software
• Interfere with or disrupt the Service or servers or networks connected to the Service

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing offending content, suspending or terminating the account of such violators, and reporting such activity to law enforcement authorities.

6. Intellectual Property

6.1 Your Content

You retain ownership of the prompts and inputs you submit to the Service. Subject to the terms and policies of the underlying AI model providers, you own the outputs generated by the Service in response to your inputs.

We do not claim ownership over your inputs or outputs. We do not use your inputs or outputs to train AI models.

6.2 Our Content

The Service, including its design, code, graphics, logos, and documentation, is the intellectual property of MultiModelMagic and is protected by Canadian and international copyright and trademark laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our prior written consent.

6.3 License to Operate

By submitting content to the Service, you grant us a limited, non-exclusive, royalty-free license to process, transmit, and temporarily store your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or your account.

7. AI Model Disclaimers

7.1 No Guarantee of Accuracy

AI-generated outputs may contain errors, inaccuracies, biases, or inappropriate content. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output for any particular purpose.

7.2 Not Professional Advice

AI-generated content does not constitute professional, legal, medical, financial, or any other form of expert advice. You should not rely on AI outputs as a substitute for professional consultation. Always verify AI-generated information before acting on it.

7.3 Third-Party Models

The AI models accessible through the Service are owned and operated by third-party providers. We do not control the outputs of these models and are not responsible for the content they generate. Each AI provider has its own terms of service and acceptable use policies that may apply to outputs generated through their models.

7.4 Content Responsibility

You are solely responsible for reviewing, verifying, and deciding how to use any AI-generated content. You are responsible for ensuring that your use of AI-generated content complies with applicable laws and does not infringe on the rights of any third party.

8. Cryptocurrency Payments

8.1 Accepted Currencies

The Service accepts payment in the following cryptocurrencies: Bitcoin (BTC), Ethereum (ETH), USD Tether (USDT), USD Coin (USDC), DAI, Solana (SOL), Tron (TRX), Ripple (XRP), and Bitcoin Cash (BCH). We may add or remove supported cryptocurrencies at our discretion.

8.2 Finality of Transactions

Unlike traditional payment methods, cryptocurrency transactions are irreversible by their nature. Once a payment has been confirmed on the blockchain, it cannot be reversed or refunded. You acknowledge and accept this inherent characteristic of blockchain-based payments.

8.3 Correct Addresses

You are solely responsible for ensuring that you send payment to the correct wallet address and on the correct blockchain network. We are not liable for funds sent to incorrect addresses or on incorrect networks. Lost funds due to user error cannot be recovered.

8.4 Exchange Rate Risk

The value of cryptocurrencies can be highly volatile. Token prices are denominated in CAD. The cryptocurrency amount required for a given token purchase may fluctuate based on market exchange rates at the time of the transaction.

8.5 Tax Responsibility

You are responsible for determining and fulfilling any tax obligations arising from your cryptocurrency transactions with the Service, including any capital gains, sales, or value-added taxes applicable in your jurisdiction.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MULTIMODELMAGIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service
• Any loss of data, revenue, profits, or business opportunities
• Any damages resulting from AI-generated content, including errors, omissions, or inaccuracies
• Any damages resulting from unauthorized access to or alteration of your data or transmissions
• Any interruption or cessation of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless MultiModelMagic and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Content you submit to or generate through the Service
• Any misuse of your account, whether authorized by you or not

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at legal@multimodelmagic.com. Upon termination, your right to use the Service will immediately cease. Any remaining token balance at the time of voluntary termination is forfeited and non-refundable.

11.2 Termination by Us

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for any reason, including but not limited to:

• Violation of these Terms
• Violation of the Acceptable Use Policy
• Fraudulent activity or suspected fraud
• Prolonged inactivity (accounts inactive for more than 24 months)
• Legal or regulatory requirements

In the event of termination for violation of these Terms, all remaining tokens are forfeited. In the event of termination due to inactivity or at our discretion without cause, we will make reasonable efforts to notify you in advance and allow you to use or export your remaining token balance.

11.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of the Province of Ontario, Canada. You irrevocably submit to the exclusive jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of these Terms and post the revised version on this page.

For material changes, we will provide at least 30 days' advance notice via email or prominent in-platform notification before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.
